These Terms of Service ("Terms") govern your access to and use of Meridian, a product of WebKitchen Development Studio Ltd ("WebKitchen", "we", "us", "our"). By signing up for early access, subscribing to a paid tier, or otherwise using Meridian (the "Service"), you agree to be bound by these Terms. If you are using the Service on behalf of an organisation, you confirm you have the authority to bind that organisation.
1. Acceptance of terms
By creating an account, requesting early access, or using any part of the Service, you accept these Terms and our Privacy Policy, which is incorporated by reference. If you do not agree, do not use the Service.
2. The service
Meridian is a private planning and command center offering calendar management, reminders, goal tracking, multi-venture workspaces, a relationship log, travel planning, and, on applicable tiers, Google Calendar sync, WhatsApp alerts, and an AI scheduling assistant. Features available to you depend on your subscription tier as described on our pricing page, which may be updated from time to time.
3. Eligibility and accounts
You must be at least 18 years old and capable of entering into a binding contract to use Meridian. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. Notify us immediately at hello@webkitchen.dev if you suspect unauthorised use of your account.
4. Subscriptions and billing
- Meridian is offered on Solo, Executive, and Principal subscription tiers, billed monthly, quarterly, or yearly, in Naira. Quarterly billing saves 10% and yearly billing saves 20% relative to the monthly rate. Prices exclude VAT, which is applied where required by law.
- Subscriptions automatically renew at the end of each billing period unless cancelled before the renewal date.
- Upgrades take effect immediately and are billed pro-rata for the remainder of the current billing period. Downgrades take effect at the start of the next billing cycle.
- We may change subscription pricing with at least 30 days' notice before the change applies to your next renewal.
- Failure to pay may result in suspension or termination of access to the Service, as described in Section 14.
5. Cancellation and refunds
You may cancel your subscription at any time from your account settings or by emailing hello@webkitchen.dev.
- Monthly subscribers may cancel at any time before their next billing date. Cancellation takes effect at the end of the current billing period; no partial-month refunds are issued.
- Annual subscribers may cancel within 30 days of their annual payment for a prorated refund covering the unused portion of the subscription term. After 30 days, annual subscriptions are non-refundable but remain active until the end of the paid term.
6. Bespoke builds
Bespoke Meridian instances are governed by a separate written agreement between WebKitchen and the client, covering scope, delivery timeline (typically 4–6 weeks from contract signing), payment terms, ownership of the resulting build, and ongoing retainer or support terms. Where these Terms and a bespoke agreement conflict, the bespoke agreement controls for matters within its scope.
7. Acceptable use
You agree not to:
- Use the Service for any unlawful purpose or in violation of any applicable regulation.
- Attempt to gain unauthorised access to Meridian's systems, other users' accounts, or underlying infrastructure.
- Reverse engineer, decompile, or attempt to extract the source code of the Service, except where permitted by law.
- Use automated means to scrape, copy, or extract data from the Service without our written consent.
- Resell, sublicense, or provide access to the Service to third parties outside your organisation without our consent.
- Upload content that is unlawful, infringing, defamatory, or that introduces malware or harmful code.
We reserve the right to investigate and take appropriate action, including suspension or termination, against accounts that violate this section.
8. Your content
You retain ownership of all calendar entries, goals, notes, contacts, and other content you create or upload to Meridian ("Your Content"). You grant WebKitchen a limited license to host, store, process, and display Your Content solely to provide and improve the Service. We do not claim ownership of Your Content and do not use it to train third-party models beyond what is necessary to process your specific requests (for example, the AI scheduling assistant interpreting a request you submit).
9. Intellectual property
Meridian, including its software, design, branding, and underlying technology, is the property of WebKitchen Development Studio Ltd and is protected by intellectual property laws. Except for bespoke builds delivered under a separate ownership agreement, subscribing to the Service grants you a limited, non-exclusive, non-transferable right to use the Service for your internal purposes — it does not transfer any ownership rights to you.
10. Third-party services
Meridian integrates with third-party services, including Google Calendar, WhatsApp, payment processors, and, on the Principal tier, Anthropic's Claude API for the AI scheduling assistant. Your use of these integrations is also subject to the relevant third party's terms. We are not responsible for the availability, accuracy, or conduct of third-party services.
11. Disclaimer of warranties
The Service is provided "as is" and "as available," without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or completely secure. Reminders, AI-generated scheduling suggestions, and other automated features are aids, not guarantees — you remain responsible for verifying critical dates, commitments, and decisions.
12. Limitation of liability
To the maximum extent permitted by law, WebKitchen and its officers, employees, and affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, business opportunity, or goodwill, arising from your use of the Service. Our total aggregate liability for any claim arising from these Terms or the Service is limited to the amount you paid for the Service in the 3 months preceding the claim.
13. Indemnity
You agree to indemnify and hold WebKitchen harmless from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising from your breach of these Terms, your misuse of the Service, or Your Content.
14. Suspension and termination
We may suspend or terminate your access to the Service if you breach these Terms, fail to pay applicable fees, or where required by law. You may terminate your account at any time as described in Section 5. Upon termination, your right to use the Service ends immediately; provisions of these Terms that by their nature should survive termination (including Sections 9, 11, 12, and 13) will continue to apply.
15. Governing law and disputes
These Terms are governed by the laws of the Federal Republic of Nigeria, without regard to conflict-of-law principles. Any dispute arising from these Terms or the Service will first be addressed through good-faith negotiation between the parties; if unresolved within 30 days, the dispute will be subject to the exclusive jurisdiction of the courts of Nigeria, except where applicable consumer protection law in your jurisdiction requires otherwise.
16. Changes to these terms
We may update these Terms from time to time. Material changes will be communicated by email or in-app notice at least 14 days before they take effect. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
